1. Introduction and Acceptance of Terms

Welcome to Hellenic Talent ("the Platform"). These Terms and Conditions ("Terms") govern your access to and use of the Hellenic Talent website and associated digital services located at www.hellenic-talent.com (together, the "Platform"), operated by Hellenic Talent Single Member P.C., a company registered in Greece under registration number (ΓΕΜΗ) 195798003000, with its registered office at Pratinou 67, 116 34 Athens, Greece ("Hellenic Talent" or “HT”, "we", "us" or "our").

By accessing or using the Platform in any manner — including browsing, registering an account, engaging freelancers or being engaged on a project, submitting a proposal, or engaging in any transaction — you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated herein by reference.  By using this website, you further acknowledge that you are older than the age of majority as defined in your jurisdiction and, notwithstanding the foregoing, older than 18 years of age, and that you have the authority and do hereby legally enter into contracts and/or bind the business entity, if any, for which you serve as an agent, independent contractor or employee thereof to the same terms and conditions, without limitation or qualification.

These terms and conditions shall take effect immediately on your first use of the website. If you do not agree to these terms and conditions, you are not authorized to access, browse or otherwise use this website.

These Terms constitute a legally binding agreement between you and Hellenic Talent. Hellenic Talent reserves the right to update these Terms from time to time. Continued use of the Platform following the effective date of any amendments constitutes your acceptance of the revised Terms, subject to the notice requirements set out in Section 16.

These Terms govern your access to and use of the Platform only. They do NOT govern the terms of any engagement between Clients and Freelancers facilitated through the Platform. The terms governing such engagements are set out in separate agreements: the Hellenic Talent Client Agreement and the Hellenic Talent Freelancer Agreement (together, the "Engagement Agreements").

2. Definitions

Unless the context otherwise requires, the following terms shall have the meanings set out below throughout these Terms:

  • “Agreement” means any agreement entered into between a Client and a Freelancer whether concluded through the Platform or in connection with it, as governed by the applicable Engagement Agreements.
  • "Platform" means the Hellenic Talent website, mobile applications, application programming interfaces (APIs), and all related digital services and tools made available by Hellenic Talent.
  • "User" means any individual or legal entity that accesses or uses the Platform, whether registered or unregistered, including Clients and Freelancers.
  • "Freelancer" means a registered User who offers professional services through the Platform whether as a physical person or through a legal entity, or who has created a Freelancer account on behalf of a legal entity which they represent.
  • “Calculation Tool” means the proprietary invoicing estimation tool made available by Hellenic Talent through the Platform to registered Freelancers, which is intended to assist Freelancers in estimating the amounts to be invoiced in connection with their engagements.
  • "Client" means a registered User who uses the Platform to search for, engage, and compensate Freelancers for the provision of services.
  • "Content" means all text, images, graphics, video, audio, data, software, code, and any other material uploaded, submitted, posted, or transmitted to or through the Platform by any User.
  • "Intellectual Property" means all patents, trademarks, service marks, trade names, copyrights, database rights, design rights, trade secrets, know-how, and all other intellectual or industrial property rights, whether registered or unregistered, in any jurisdiction.
  • "Engagement Agreements" means the Hellenic Talent Client Agreement and the Hellenic Talent Freelancer Agreement, which together govern the terms and conditions of engagements between Clients and Freelancers facilitated through the Platform.
  • "GDPR" means Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data.
  • "Ranking" means the relative prominence given to, or the ordering of, Freelancer profiles as presented in search results or listings on the Platform or otherwise communicated by HT (including via email), whether displayed visually or otherwise.
  • “Services” means the professional freelance services offered by Freelancers to Clients through or in connection with the Platform.

3. Platform Description and Services

Hellenic Talent operates as an online intermediation platform that connects Clients seeking professional services or employees, with Freelancers who have been selected to form part of the Hellenic Talent network with expertise across a broad range of service categories including, but not limited to, strategic and financial advisors, operational and project management experts, technology specialists, niche subject-matter experts.

Hellenic Talent acts solely as an intermediary platform provider. We do not ourselves provide the freelance services advertised on the Platform, nor do we guarantee the quality, legality, suitability, or availability of any Services offered by Freelancers. The contractual relationship for the provision of Services is formed exclusively between the relevant Client and Freelancer, as further described in Section 6.

No employment, agency, partnership, or joint venture relationship is created between Hellenic Talent and any User by virtue of these Terms or by the User's use of the Platform. Freelancers are independent professionals and not employees, workers, or agents of Hellenic Talent.

The Platform is provided on an "as is" and "as available" basis, subject to applicable availability. Hellenic Talent does not warrant uninterrupted or error-free access to the Platform and reserves the right to modify, suspend, or discontinue any feature or functionality of the Platform at any time, with reasonable advance notice where practicable.

4. User Registration, Accounts and Tools

Access to and use of the Platform is restricted to individuals who are at least 18 years of age and who have the full legal capacity to enter into binding agreements under applicable law. By registering for an account, you represent and warrant that you satisfy these eligibility requirements.

Where a User accesses or uses the Platform on behalf of a legal entity, that User further represents and warrants that they are authorised to bind that entity to these Terms and that the entity is duly incorporated or otherwise validly constituted under applicable law.

Users must comply with all applicable Greek and EU law in their use of the Platform, including without limitation the law of the Hellenic Republic, applicable EU Regulations and Directives, and any sector-specific regulatory requirements applicable to their activities.

To access most features of the Platform, you must create a registered account. During registration, you will be required to provide accurate, current, and complete information, including your full legal name (or the legal name of the entity you represent), a valid email address, and any additional information requested during the onboarding process. The Platform offers different registration processes depending on the type of User.

To join the Hellenic Talent network, prospective Freelancers must complete the application form made available on the Platform and provide all information requested therein. The relevant applications are subject to review and assessment by Hellenic Talent. Applicants whose applications are rejected will not be granted access to the Platform’s engagement functionality. Accepted applicants will be notified and invited to complete the account creation process. Clients may create an account by completing the registration form on the Platform and providing basic information, including their full legal name (or the legal name of the entity they represent), a valid email address, and such other information as Hellenic Talent may reasonably request. Client registration does not require an application or approval process; however, Hellenic Talent reserves the right to verify any information provided and to refuse or revoke registration where information is found to be inaccurate, incomplete, or otherwise in breach of these Terms. Finally, the Platform makes available a separate enquiry form. Submission of this form does not constitute registration, does not create an account, and does not give rise to any contractual relationship between the submitting party and Hellenic Talent.

You undertake to keep your account information accurate, complete, and up to date at all times. Providing false, misleading, or fraudulent information during registration or at any subsequent time is a material breach of these Terms and may result in immediate suspension or termination of your account. Hellenic Talent may request supporting documentation to verify the accuracy of the information provided.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You must not share your credentials with any third party and must take reasonable steps to prevent unauthorised access to your account.

You must notify Hellenic Talent immediately if you become aware of any unauthorised access to, or use of, your account. Hellenic Talent will not be liable for any loss or damage arising from your failure to comply with this obligation.

Hellenic Talent reserves the right to require Users to implement two-factor authentication (2FA) or other enhanced security measures as a condition of continued access to the Platform, where we consider this reasonably necessary for the security of the Platform or its Users.

Each natural person or legal entity is permitted to maintain only one account per account type (Freelancer or Client) on the Platform. The creation of multiple accounts for the same individual or entity — whether to circumvent a suspension, artificially inflate ratings, or for any other purpose — is strictly prohibited and constitutes a material breach of these Terms.

Hellenic Talent may make available to registered Freelancers the Calculation Tool. The Calculation Tool is provided for general guidance purposes only and does not constitute financial, tax, or accounting advice. The estimates generated by the Calculation Tool may be inaccurate, incomplete, or out of date — for example, due to changes in applicable law (including tax rates, withholding obligations, or social security contributions), or because a Freelancer’s specific circumstances or characteristics are not fully reflected in the tool’s underlying model, or because of technical errors. Hellenic Talent does not warrant the accuracy, completeness, or reliability of any output produced by the Calculation Tool, and accepts no liability for any loss, cost, or damage arising from a Freelancer’s reliance on such output. Freelancers must consult a qualified accountant or tax professional to verify that all invoiced amounts are correct before issuing any invoice. Use of the Calculation Tool does not relieve a Freelancer of their obligation to ensure the accuracy of their own invoicing and tax compliance.

5. Platform as Intermediary

Hellenic Talent operates as an online intermediary and is not a party to any contract, agreement, or arrangement entered into between a Client and a Freelancer through or in connection with the Platform. All such contracts are formed exclusively between the relevant Client and Freelancer on the terms set out in the applicable Engagement Agreements.

Nothing in these Terms, and nothing arising from a User's use of the Platform, shall be construed as creating any employment, agency, partnership, joint venture, franchise, or fiduciary relationship between Hellenic Talent and any User, or between any two Users by virtue of their participation on the Platform.

As a provider of online intermediation services, Hellenic Talent undertakes to be transparent and fair in respect of its business users. In compliance with those undertakings, Hellenic Talent makes available clear and accessible information regarding: the main parameters determining Ranking (see Section 11); the terms governing access to and restriction of the Platform; and the internal complaint-handling process (see Section 13).

Hellenic Talent does not guarantee, warrant, or make any representation regarding: the quality, suitability, legality, timeliness, or accuracy of any services offered or provided by Freelancers; the identity, qualifications, or credentials of any Freelancer; the suitability of any Freelancer for a particular Client's requirements; or the outcome of any engagement facilitated through the Platform.

The rights and obligations of Clients and Freelancers in relation to engagements facilitated through the Platform are governed exclusively by the Engagement Agreements.

6. Engagement Agreements

The terms governing engagements between Clients and Freelancers facilitated through the Platform are set out in two separate agreements.

Clients must read and accept the Hellenic Talent Client Agreement before commencing projects, submitting briefs, or engaging Freelancers. Clients may not be able to access full functionality of the Platform before accepting the Client Agreement.

Freelancers must read and accept the Hellenic Talent Freelancer Agreement before offering services, responding to project briefs, or accepting engagements through the Platform. Freelancers may not undertake any engagements through HT without having accepted the Freelancer Agreement.

Use of the Platform is subject to these Terms at all times and, where a User has accepted the applicable Engagement Agreement, also to the terms of that agreement.

7. Content Standards and User Content

Users are solely responsible for all Content they upload, submit, publish, or otherwise make available on or through the Platform. By submitting Content, you represent and warrant that:

  • the Content complies with all applicable laws and regulations, including the laws of the Hellenic Republic, the Republic of Cyprus and applicable EU law;
  • the Content does not infringe any third-party Intellectual Property rights, privacy rights, or other proprietary rights;
  • the Content is not false, misleading, deceptive, or fraudulent;
  • the Content is not defamatory, obscene, offensive, threatening, abusive, or otherwise harmful;
  • the Content does not constitute or encourage conduct that would amount to discrimination on grounds of race, ethnic origin, colour, national origin, religion or belief, gender, age, disability, sexual orientation, or any other protected characteristic, in breach of Greek Law 4443/2016 or any other applicable anti-discrimination legislation; and
  • the Content does not contain personal data of third parties without a lawful basis for processing under the GDPR.

Hellenic Talent reserves the right, but is not obliged, to review, monitor, edit, or remove any Content that, in our reasonable opinion, violates these Terms or any applicable law. We may act upon user reports, automated detection systems, or our own proactive review. The exercise of this right does not constitute an obligation to monitor Content, and Hellenic Talent does not undertake to review all Content submitted to the Platform.

Users may report illegal content or content that otherwise violates these Terms at legal@hellenic-talent.com.

Where Content is removed or restricted following a moderation decision, Hellenic Talent will, as soon as reasonably practicable, notify the User responsible for that Content and provide a statement of reasons which shall include at least: a) information on whether the decision entails either the removal of, the disabling of access to, or the restriction of the visibility of the information, or the suspension or termination of monetary payments related to that information, or imposes other measures such as suspension or termination of the provision of the service by HT, or suspension or termination of the recipient of the service's account, b) where relevant, the decision’s duration, c) the facts and circumstances relied on in taking the decision, including, where relevant, information on whether the decision was taken pursuant to a notice submitted by a third party or based on voluntary own-initiative investigations, d) where the decision concerns allegedly illegal content, a reference to the legal ground relied on and explanations as to why the information is considered to be illegal content on that ground e) where the decision is based on the alleged incompatibility of the information with the terms and conditions of the provider of hosting services, a reference to the contractual ground relied on and explanations as to why the information is considered to be incompatible with that ground, and f) clear and user-friendly information on the possibilities for redress available in respect of the decision, in particular, where applicable through internal complaint-handling mechanisms, out-of-court dispute settlement and judicial redress.

8. Intellectual Property

All Intellectual Property in and to the Platform, including its software, source code, design, user interface, trademarks, service marks, trade names, logos, and proprietary content created by Hellenic Talent, is owned by or licensed to Hellenic Talent and is protected by Greek and international intellectual property law. No provision of these Terms grants you any right, title, or interest in or to the Platform's Intellectual Property, except for the limited licence to use the Platform as expressly set out in these Terms.

Nothing in these Terms grants, transfers, or licenses to any User any right, title, or interest in or to Hellenic Talent's Intellectual Property, save for the limited, non-exclusive, non-transferable, revocable licence to access and use the Platform in accordance with these Terms for the duration of your account registration.

You must not reproduce, copy, distribute, modify, adapt, translate, publish, display, transmit, or create derivative works from any part of the Platform or its content except as expressly permitted by these Terms or with Hellenic Talent's prior written consent.

By uploading or submitting Content to the Platform (including but not limited to profile descriptions, portfolio images, project listings, and reviews), you grant Hellenic Talent a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, display, and process such Content for the purpose of providing the relevant services under your corresponding Engagement Agreement with Hellenic Talent and otherwise connecting you with Clients or Freelancers as applicable in the framework of providing our intermediation services. You represent and warrant that you have all rights necessary to grant this licence and that your Content does not infringe the rights of any third party.

You retain all ownership rights in your Content. The licence granted above does not transfer any ownership interest to Hellenic Talent and terminates upon the deletion of the Content from the Platform, except to the extent that copies have been made in the ordinary course of system backup and archiving operations.

Intellectual property rights in any deliverables created by Freelancers for Clients in the course of an engagement are governed exclusively by the Engagement Agreements and are not addressed by these Terms.

9. Prohibited Conduct

In addition to the content standards, you must not engage in any of the following prohibited activities in connection with your use of the Platform:

  • Fraud, misrepresentation, or deception of any kind, including impersonating any person or entity or misrepresenting your qualifications, identity, or intentions;
  • Harassment, bullying, intimidation, or threatening of any User, Hellenic Talent employee, or third party;
  • Posting or transmitting unsolicited bulk messages (spam), chain letters, or automated messages;
  • Using the Platform to facilitate or promote any activity that is illegal under Greek law, Cypriot law, EU law, or the law of the jurisdiction in which you are located;
  • Automated scraping, crawling, harvesting, or extracting data from the Platform without Hellenic Talent's prior written consent;
  • Reverse engineering, decompiling, or disassembling any part of the Platform or attempting to derive the source code of any software forming part of the Platform;
  • Interfering with, disrupting, or attempting to gain unauthorised access to any part of the Platform, its servers, or any networks connected to the Platform;
  • Introducing any virus, trojan horse, worm, logic bomb, or other harmful or malicious code into the Platform;
  • Manipulating the review or rating system, including offering or accepting payment or other incentives in exchange for reviews, or submitting false reviews;
  • Creating multiple accounts to circumvent suspensions, sanctions, or limitations imposed by Hellenic Talent;
  • Collecting or processing personal data of other Users without a valid legal basis under the GDPR;
  • Engaging in money laundering, terrorist financing, or any activity prohibited under Directive (EU) 2018/1673 or applicable Greek anti-money laundering legislation;
  • Using the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other User's enjoyment of it;
  • creating, registering, or maintaining a false, fraudulent, or misleading account, profile, or User identity;
  • circumventing, disabling, or otherwise interfering with any security measure, access control, or authentication mechanism of the Platform;
  • attempting to circumvent, avoid, or reduce any fees or charges properly payable to Hellenic Talent under these Terms or the Engagement Agreements;
  • sublicense, sell, transfer, assign, or otherwise deal in your account or access rights to the Platform to or for the benefit of any third party; or
  • use the Platform in any manner that could harm, damage, or adversely affect the reputation, goodwill, or legitimate interests of Hellenic Talent.

Breach of this Section 9 may result in immediate restriction, suspension, or termination of your account in accordance with Section 10 (Account Suspension and Termination), without prejudice to any other remedies available to Hellenic Talent at law or in equity.

10. Account Suspension and Termination

Without prejudice to any other right or remedy available to us, Hellenic Talent may restrict, suspend, or limit access to a User's account where:

  • the User has breached, or we have reasonable grounds to suspect a breach of, any provision of these Terms or the applicable Engagement Agreement;
  • we have reasonable grounds to suspect fraudulent activity, misrepresentation, or other dishonest conduct by the User;
  • a legal or regulatory obligation requires us to take such action;
  • there is a credible security threat to the Platform or to other Users associated with the account; or
  • the account is subject to an ongoing investigation by a competent authority.

Where Hellenic Talent decides to restrict or suspend a business User's access to the Platform, we will provide that User with a statement of reasons at or before the time the restriction or suspension takes effect. The statement of reasons will set out the specific facts or circumstances that led to the decision and refer to the applicable provision of these Terms.

The User will have the opportunity to respond to the statement of reasons through the internal complaint-handling system described hereinbelow (Complaints and Dispute Resolution).

Notwithstanding the foregoing, Hellenic Talent may impose an immediate suspension without prior notice and without providing a prior statement of reasons where:

  • a legal or regulatory obligation applicable to Hellenic Talent requires immediate action;
  • there is an imperative reason related to the safety or security of the Platform or its Users; or
  • the User has repeatedly breached these Terms such that immediate action is the only proportionate response.

In such cases, Hellenic Talent will provide the statement of reasons as soon as reasonably practicable after the suspension has been imposed.

Hellenic Talent may terminate a User's account by giving not less than 30 days' prior written notice. The notice will include a clear and comprehensible statement of the reasons for the termination decision.

The 30-day notice period may be reduced or dispensed with where:

  • Hellenic Talent is subject to a legal or regulatory obligation requiring termination with a shorter or immediate notice period;
  • the User has repeatedly or seriously breached these Terms in a manner that justifies immediate or accelerated termination;
  • termination is required by an order or direction of a competent court or regulatory authority; or
  • an imperative reason related to the safety or security of the Platform or its Users requires immediate action.

Notice of termination will be provided in writing to the email address registered to the User's account.

Users may terminate their account at any time by either: (a) using the account closure functionality available within the Platform settings; or (b) providing written notice of termination to Hellenic Talent. Termination will take effect within a maximum of fourteen (14) days from Hellenic Talent receiving a written notice of Termination.

Upon termination of a User's account, however arising:

  • the User's right to access and use the Platform will cease immediately;
  • User Content associated with the account may be retained or deleted in accordance with Hellenic Talent's Data Retention Policy and applicable data protection law;
  • all accrued rights and obligations of either party arising prior to the date of termination shall survive and remain in full force and effect; and
  • any obligations arising under the applicable Engagement Agreement shall survive termination of these Terms to the extent and for the period specified in the relevant Engagement Agreement.

A User who believes that a restriction, suspension, or termination decision is incorrect or unjustified may appeal that decision through the internal complaint-handling system described in Section 13 (Complaints and Dispute Resolution). Hellenic Talent will review all appeals in good faith and respond within a reasonable time. Submission of an appeal does not automatically suspend the restriction, suspension, or termination pending the outcome of the review.

11. Ranking

Hellenic Talent determines the relative ranking of the eligibility of Freelancers based on the following main parameters:

  • Relevance to Client request— degree of match between Client search terms and the Freelancer's stated skills and experience.
  • Profile completeness — completeness of professional information, skills, and portfolio content.
  • User ratings and reviews — average rating received and number of completed engagements recorded on the Platform.
  • Response time and reliability — average response time to inquiries and historical cancellation rate.
  • Freelancer rates in correlation with the budget set by the Client.
  • Freelancer working preferences compatibility with Client needs and preferences.
  • Freelancer working restrictions and objections (e.g. exclusion of certain industries or working hours).

Hellenic Talent may update its ranking parameters from time to time. We will notify business Users of any material changes to ranking parameters in accordance with the notice requirements set out in Section 16 of these Terms.

Hellenic Talent does not guarantee any particular level of engagement, visibility to the Client, or volume of inquiries for any Freelancer. Ranking/Selection outcomes depend on the parameters described above and may vary over time.

12. Artificial Intelligence and Automated Systems

Hellenic Talent uses artificial intelligence ("AI") powered systems, including third-party AI models, to support certain Platform functionalities. These include, but are not limited to:

  • Classification and categorisation of Freelancer skills, suitability and experience.
  • Evaluation and scoring of Freelancer profiles for quality and completeness.

AI-generated outputs are reviewed by qualified human personnel before being used to inform recommendations, rankings, or Client referrals that may materially affect a Freelancer's visibility or access to opportunities. Hellenic Talent does not make decisions with legal or similarly significant effects on Users based solely on automated processing.

Freelancers have the right to:

  • Request human review of any AI-generated assessment that affects their access to opportunities on the Platform.
  • Express their views regarding any AI-influenced decision.
  • Contest any AI-influenced decision affecting their visibility or access to opportunities.
  • Obtain meaningful information about the logic involved in automated suitability assessments.

Hellenic Talent maintains appropriate human oversight measures and transparency mechanisms in accordance with applicable European Union law, including the EU AI Act (Regulation (EU) 2024/1689). As a deployer of AI systems, Hellenic Talent ensures that individuals subject to AI-assisted decisions are informed of this fact in accordance with Article 26(11) of the EU AI Act.

Hellenic Talent may enable AI functionalities to improve User experience, such as automatic filling in of profile details from CVs or LinkedIn profiles, provision of AI advice for improvement of project proposals or other relevant functionalities which will be used by Users. The User will be in a position to review, amend and confirm any relevant AI-generated outputs before these are shared with Hellenic Talent or other Users.

While we strive to ensure that AI systems operate fairly and accurately, AI-generated outputs may contain errors or reflect biases present in training data. Users are encouraged to report any concerns about AI-generated assessments to Hellenic Talent.

13. Complaint Handling

Hellenic Talent operates a free, accessible, and effective internal complaint-handling system. The system is available to address:

  • Alleged non-compliance by Hellenic Talent with its obligations under the applicable laws;
  • Technological issues that directly affect a Freelancer's use of the Platform;
  • Measures or conduct by Hellenic Talent that directly affect the Freelancer's access to or operation on the Platform.

To submit a complaint, please contact us at legal@hellenic-talent.com with the subject line "Complaint". We will acknowledge your complaint promptly and provide a substantive response, including a statement of reasons where a complaint is not upheld, within a reasonable timeframe.

This Section 13 applies to complaints relating to Platform access and use under these Terms. Complaints or disputes arising from engagements between Clients and Freelancers are governed by the dispute resolution provisions set out in the relevant Engagement Agreement.

14. Limitation of Liability

The Platform and all content, features, and services made available through it are provided on an "as is" and "as available" basis, without warranty of any kind, whether express or implied. To the fullest extent permitted by applicable law, Hellenic Talent expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

To the fullest extent permitted by applicable law, Hellenic Talent, its directors, officers, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of, or inability to use, the Platform or any Services offered through it, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of data, loss of goodwill, or reputational damage, even if Hellenic Talent has been advised of the possibility of such damages.

Subject to the above, Hellenic Talent's total aggregate liability to you in connection with these Terms and your use of the Platform, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of: (a) the total commissions actually received and retained by Hellenic Talent in connection to you in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) EUR 500.

Nothing in these Terms shall operate to limit or exclude liability for: (a) death or personal injury caused by Hellenic Talent's negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable Greek law or EU mandatory consumer protection law; or (d) any liability to Consumers under Greek Law 2251/1994 that cannot be waived by agreement.

15. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Hellenic Talent, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Terms or any representation, warranty, or obligation made herein;
  • Your violation of any applicable law or the rights of any third party, including Intellectual Property rights, privacy rights, or contractual rights;
  • Any Content you upload, post, or transmit through the Platform;
  • Your engagement with any other User through the Platform, including any dispute arising from an Agreement;
  • Any misrepresentation made by you on or through the Platform;
  • Your fraudulent, negligent, or wilfully wrongful acts or omissions.

Hellenic Talent reserves the right to assume exclusive control and defence of any matter subject to indemnification by you, in which event you will fully cooperate with Hellenic Talent in asserting any available defences. This indemnification obligation shall survive termination of your account and these Terms.

16. Modifications to Terms and Platform

Hellenic Talent will provide users with active accounts (Freelancers and Clients) with at least 15 days' notice before any proposed amendments to these Terms take effect. Notice will be given by email to the address registered to your account and/or by a prominent notice displayed on the Platform or through the Platform’s notification/communication system.

If you do not agree to the amended Terms, you must cease using the Platform before the effective date of the changes and, if you are a business user, you may exercise any termination rights as set out in these Terms. Continued use of the Platform after the effective date constitutes acceptance of the amended Terms.

The fifteen (15) day Notice Period referred to in this Section 16 may be shortened or waived in any of the following circumstances:

  • The changes are required by law or a regulatory obligation applicable to Hellenic Talent.
  • The changes are necessary to address an unforeseen and imminent danger related to the Platform, its Users, or consumers.
  • You have clearly and explicitly consented in writing to a shorter notice period.

Hellenic Talent reserves the right to modify, update, suspend, or discontinue any feature, functionality, or aspect of the Platform at any time. Where any such modification would have a material adverse effect on business users, Hellenic Talent will endeavour to provide reasonable advance notice. Hellenic Talent shall not be liable to you for any modification, suspension, or discontinuation of the Platform or any part thereof, subject always to any mandatory rights under applicable law.

17. Consumer Protection

Where applicable under Greek Law 2251/1994 and Directive 2011/83/EU, Consumers (as defined therein) may have the right to withdraw from these Terms within fourteen (14) calendar days of acceptance without giving any reason (the "Cooling-Off Period"). To exercise the right of withdrawal, you must inform Hellenic Talent by means of a clear, unequivocal statement (for example, by email to legal@hellenic-talent.com) before the expiry of the Cooling-Off Period.

Please note: if you access and use the Platform during the Cooling-Off Period and expressly request and consent to the commencement of performance of services before the Cooling-Off Period has expired, you may lose the right of withdrawal in respect of services or part of the services that have already been fully performed.

Any withdrawal rights in relation to specific engagement services are governed by the applicable Engagement Agreement.

18. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Greece.

Each party irrevocably agrees that the courts of Athens, Greece shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation.

19. Miscellaneous

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, unenforceable, or contrary to public policy, in whole or in part, under the law of any jurisdiction, then that provision shall, to the minimum extent necessary, be severed from these Terms, and the remaining provisions of these Terms shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been included.

In the event that any provision is so severed, the parties shall use their best efforts to negotiate and agree a replacement provision that is legally valid, enforceable, and achieves, to the greatest extent possible, the original commercial intention of the parties as reflected in the severed provision.

These Terms, together with the Privacy Policy, the Cookie Policy, and any other policies, guidelines, or notices published on the Platform and expressly incorporated herein by reference, constitute the entire agreement between you and Hellenic Talent with respect to your use of the Platform, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between the parties in respect of such subject matter.

No failure or delay by Hellenic Talent in exercising any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.
